(“ComplianceDL,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

“Customer Data” means data submitted to or collected by the Services on your behalf. “Account” means the registered profile through which you access the Services. “Documentation” means the usage guides and policies we make available for the Services.

2. Use of the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. You agree not to misuse the Services, including by attempting to gain unauthorized access, interfering with normal operation, or using the Services in violation of applicable law.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account. You agree to notify us promptly of any unauthorized use.

4. Customer Data

You retain all rights to your Customer Data. You grant us a limited license to process Customer Data solely to provide and support the Services. We handle personal information in accordance with our Privacy Policy.

5. Fees

Paid features of the Services are billed according to the plan you select. Fees are non-refundable except as required by law or expressly stated in an order. We may update pricing on renewal with reasonable notice.

6. Intellectual property

The Services, including all software, content, and trademarks, are owned by ComplianceDL or its licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

7. Disclaimers

The Services assist you in managing your compliance program but do not constitute legal, audit, or certification advice. Certifications and attestations are issued by independent third parties. The Services are provided “as is” without warranties of any kind, to the fullest extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, ComplianceDL will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of your use of the Services.

9. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms. Upon termination, your right to use the Services ceases, and we will handle Customer Data in accordance with our Documentation and applicable law.

10. Changes to these Terms

We may modify these Terms from time to time. When we make material changes, we will update the effective date above and provide notice as appropriate. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
